RESALE POLICY

Resale Policy of Magnet Moment (the “Brand Owner”)

This Resale Policy (“Policy”) is hereby adopted by Magnet Moment, referred to as the “Brand Owner.” Each individual, entity, or firm (hereinafter “Reseller”) purchasing products (the “Products”) from the Brand Owner for resale or distribution is required to adhere to this Policy.

Non-compliance with this Policy will render a Reseller an unauthorized distributor of the Products, resulting in the forfeiture of the right to: (i) sell the Products, (ii) utilize the Brand Owner’s intellectual property, including trademarks or copyrights, and (iii) offer the consumer warranty associated with the Products.

  1. Applicability: This Policy governs all resales of the Products, irrespective of their origin—whether acquired directly from the Brand Owner, through an authorized distributor, or by any other means. Resellers must comply with the terms outlined in this Policy.
  2. Sales to End Users Only: Resellers may purchase Products exclusively for resale to consumers and end-users. Reselling to other Resellers, distributors, or for further distribution in any form is strictly prohibited unless expressly agreed upon in writing by the Brand Owner.
  3. No Sales on Online Marketplaces: Resellers are expressly prohibited from advertising or selling Products online on any e-commerce platform, including but not limited to Amazon, eBay, and Walmart, without the explicit written consent of the Brand Owner. Reselling on the Reseller’s website is permitted.
  4. Handling and Storage: Resellers agree to handle and store the Products safely, following the Brand Owner’s storage and handling guidelines. Secure, climate-controlled warehouses must be utilized for storing purchased Products.
  5. Product Packaging and Display: Resellers are obligated to sell Products in their original packaging. Alterations, relabeling, repackaging, or tampering with any identifying information on the Products or their packaging are strictly prohibited. Advertising non-Brand Owner Products alongside the Products in a manner that implies association with the Brand Owner is prohibited.
  6. Trademarks; Copyrights: Compliant Resellers are granted a limited, non-exclusive, non-sublicensable, revocable license to use the Brand Owner’s trademarks and copyrights solely for the promotion and sale of the Products. Any unauthorized alteration or negative impact on the Brand Owner’s intellectual property will result in automatic license revocation.
  7. Locations/Reporting: Resellers must track and store Products in compliance with this Policy. Upon request, Resellers shall provide the Brand Owner with information about storage locations, inventory, and physical access for inventory confirmation.
  8. Product Inspection: Resellers must inspect received Products promptly for defects, damage, or tampering. Identification of any defects requires Resellers to refrain from offering the Products for sale and promptly report defects to the Brand Owner.
  9. Recall and Consumer Safety: Resellers agree to cooperate with the Brand Owner regarding any Product recall or dissemination of consumer safety information to ensure end user safety.
  10. Customer Service: Resellers are required to maintain customer service functions for handling complaints, returns, and other service-related matters. Upon request, Resellers shall provide relevant reports or information related to customer services.
  11. Product Loss and Theft: In case of significant loss or theft of purchased Products, Resellers must promptly report such incidents to the Brand Owner.
  12. Report Unauthorized Resellers: Resellers are obligated to promptly notify the Brand Owner if they possess information or reasonably suspect any unauthorized purchase, resale, or distribution of Products in violation of this Policy.
  13. Support of Manufacturer’s Warranty: Resellers may extend the original manufacturer’s warranty to purchasers but may not modify, misrepresent, or extend their own warranty. Non-compliance leads to the forfeiture of the right to offer the Brand Owner’s consumer warranty.
  14. Other Information, Documents, and Reports: Resellers must provide the Brand Owner with any requested supplemental information, documents, or reports to validate compliance with this Policy and support warranty and customer support obligations.
